Venue Agreement for Soho Jazz Festival 2025

An agreement between SOHO LIVE STUDIOS LIMITED, 16 Carlisle Street, London, W1D 3BT, and

1. Purpose

The purpose of this Agreement is to formalise the partnership for one or more live events hosted at the Venue during the Soho Jazz Festival 2025, produced by Soho Live Studios Limited (The Festival). The events will involve live performances, ticketed audience attendance, and hospitality services provided by the Venue.

2. Use of Venue
The Venue agrees to make its space available to The Festival on agreed event dates during the festival period.

The Venue shall provide full access for soundcheck, load-in/out, rehearsals, and the event itself, with staff on hand to ensure smooth operations.
3. Ticket Sales and Production Costs
The Festival will retain 100% of ticket sales revenue and used exclusively to cover:
- Artist performance fees (as agreed and booked by Soho Live Studios Limited),
-Production costs (including sound engineer, equipment, and backline).
-The Festival will manage all artist bookings and coordinate the overall show delivery.
The Festival will be responsible for putting tickets on sale and selling through our dedicated box office unless otherwise agreed. Ticket links and promotional codes will be provided to the Venue marketing contact as they go on sale. 
Venue Capacity Notes (for Festival Box Office)

The Venue is not permitted to sell additional tickets/entrance fees/cover charges, without advance permission from Soho Jazz Festival.

Ticket and Pass Holders must abide by the venue door policy and are aware that their right of admission is reserved. Tickets and Festival Passes are only available to Over 18s, by advance purchase
4. Food & Beverage
The Venue shall retain 100% of food and beverage revenue generated during the event(s).
The Venue shall be solely responsible for staffing, stocking, and operating the bar and kitchen (if applicable).
6. Marketing and Branding
The Agency will promote the event as part of the official Soho Jazz Festival 2025 programme and include the Venue in all relevant marketing materials, listings, and press releases.

The Venue agrees to co-brand the event as part of Soho Jazz Festival 2025 and feature it on their website and social media platforms.

The Venue grants Soho Live Studios Limited and its authorized representatives the right to record, photograph, and film the event for promotional, marketing, and archival purposes.

Any footage, photographs, or recordings used publicly by Soho Live Studios Limited will include appropriate credit to the Venue.
5. Cancellation Terms
If an event is cancelled due to fault or inaction by the Venue (e.g. double booking, closure, technical failure, etc.), the Venue agrees to pay the following cancellation fees (no VAT due) to Soho Live Studios Limited:
£150 per musician contracted to perform,
£100 flat fee for audio production and technical coordination.
6.Liabilities
The Venue shall carry their respective liability insurance policies to cover any unforeseen circumstances that may arise during the Event.
Each party agrees to indemnify and hold harmless the other party against any claims, damages, liabilities, and expenses arising from their respective activities related to the Event.
